Terms of Service
RANKGO TECHNOLOGIES LLC
Version 1.2 | Last updated September 28, 2026
Important Notice and Acceptance
These Terms of Service (“Terms”) form a legally binding agreement between you and RankGo Technologies LLC, a California limited liability company (“RankGo”, “we” or “our”). They govern your access to and use of rankgo.tech, app.rankgo.tech, any RankGo mobile application, dashboards, reports, standings features, account connectivity features, communications, and related products and services that link to these Terms (collectively, the “Services”).
BY CREATING AN ACCOUNT, CLICKING “I AGREE”, PURCHASING A SUBSCRIPTION, CONNECTING A THIRD-PARTY WORK ACCOUNT, OR ACCESSING OR USING ANY PART OF THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND AND ACCEPT THESE TERMS AND THE PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICES.
YOU MUST BE AT LEAST 18 YEARS OLD AND LEGALLY ABLE TO ENTER INTO THIS AGREEMENT. YOU MAY USE THE SERVICES ONLY FOR LAWFUL PERSONAL PURPOSES OR LAWFUL INTERNAL BUSINESS PURPOSES.
SECTION 24 CONTAINS AN ARBITRATION AGREEMENT, A JURY TRIAL WAIVER AND A CLASS ACTION WAIVER. UNLESS YOU TIMELY OPT OUT AS DESCRIBED THERE, THOSE TERMS REQUIRE MOST U.S. DISPUTES TO BE RESOLVED INDIVIDUALLY THROUGH BINDING ARBITRATION INSTEAD OF IN COURT.
Paid subscriptions renew automatically and create recurring charges until cancelled. The price, billing frequency, renewal terms and cancellation method must be clearly disclosed at checkout. See Section 9.
1. Definitions
“Account” means the RankGo user account created by you or for you. “Connected Account” means an account you hold with a supported third-party platform, whether gig, workforce, delivery, rideshare, marketplace, payroll or similar, that you authorize RankGo and its Data Providers to access. “Data Provider” means Argyle, Inc. and any other authorized service provider used to retrieve, refresh, normalize, verify or transmit Connected Account data. “Gig Platform” means a third-party service such as a rideshare, delivery, shopping, task, creator, freelance or workforce platform. “Membership” or “Subscription” means a paid, recurring plan. “RankGo Data” means data, metrics, scores, models, standings, reports, categorical classifications, metadata and derived or aggregated information generated by RankGo, excluding your underlying personal information to the extent it is owned by you or a third party. “RankGo Score” means RankGo’s proprietary analytical performance score. “Supplemental Rules” means additional published rules governing a particular feature, standings season, recognition program, promotion, pilot program or benefit. “User Content” means information, files, comments, profile content, dispute materials or other content you submit directly to RankGo.
2. What RankGo Is, and What It Is Not
2.1 Performance analytics service
RankGo is an independent performance-analytics and data-organization service built for independent gig-economy workers. With your authorization, RankGo may retrieve Connected Account data through Data Providers, organize that information into dashboards, calculate metrics, build reports, display historical comparisons, and generate a RankGo Score or standing under a disclosed methodology.
2.2 No employment relationship
RankGo is not your employer, joint employer, staffing agency, hiring platform, labor broker, union, payroll provider or agent for obtaining work. RankGo does not direct when, where or how you work; does not set the compensation offered by Gig Platforms; does not provide vehicles or equipment; does not supervise your services; does not determine worker classification; and does not guarantee access to work. Nothing in the Services creates an employment, partnership, franchise, fiduciary, agency, joint venture or representative relationship between you and RankGo.
2.3 No affiliation with Gig Platforms
Unless RankGo expressly states otherwise in writing, RankGo is not sponsored by, endorsed by, operated by, or affiliated with any Gig Platform whose name or mark appears in the Services. Third-party names are used solely to identify compatibility or the source of user-authorized data. Your relationship with each Gig Platform is governed exclusively by your separate agreement with that platform.
2.4 No professional or financial advice
The Services are informational tools. RankGo does not provide legal, tax, accounting, investment, credit, insurance, employment or financial planning advice. Metrics and comparisons are not promises about future earnings and should not be the sole basis for financial, employment, driving or safety decisions. You are responsible for evaluating the information and seeking qualified professional advice where appropriate.
2.5 Not a credit score or employment score
The RankGo Score is not a consumer credit score, a background report, an employment eligibility determination, an insurance score, a professional license, a government credential or a quality guarantee. RankGo does not authorize third parties to use the RankGo Score to determine credit, housing, employment, insurance or other eligibility unless RankGo has expressly reviewed and approved that use in writing and all applicable legal requirements are satisfied.
3. Eligibility and Geographic Scope
You may use the Services only if you: (a) are at least 18 years old; (b) can enter into a binding contract; (c) are legally permitted to work with or hold the Connected Accounts you link; (d) are not barred from using the Services under applicable law; (e) have not been permanently removed for misconduct, unless RankGo authorizes reinstatement; and (f) provide accurate registration and billing information.
RankGo may initially offer standings, comparisons or certain features only in California. Availability may depend on your residence, work location, Connected Account data or selected market. RankGo may add, remove, combine or redefine markets prospectively. A comparison across markets is an analytical grouping and does not establish residence, employment status or legal jurisdiction.
4. Accounts and Security
4.1 Registration
You must provide complete and accurate information and keep it current. RankGo may require email or phone verification, identity checks, platform ownership verification, or other information reasonably necessary to protect users, investigate fraud, administer standings or comply with law.
4.2 One person, one Account
Unless RankGo expressly authorizes a business or team account, each Account is personal to a single individual. You may not create duplicate Accounts to manipulate metrics, evade enforcement, obtain multiple free trials, or enter a standings season more than once. RankGo may merge, restrict, suspend or close duplicate Accounts and may retain records necessary to prevent abuse.
4.3 Credentials and incidents
You are responsible for protecting your RankGo credentials and devices, and for activity that occurs in your Account, except to the extent caused by RankGo’s failure to meet its legal obligations. Notify info@rankgo.tech promptly if you suspect unauthorized access. RankGo may require a password reset, re-authentication, reconnection or temporary restriction while it investigates an incident.
4.4 Communications
You agree to receive transactional electronic communications relating to your Account, Connected Accounts, security, billing, policy changes, standings status, support and service administration. Marketing communications are optional where required by law and may be turned off without losing essential service communications. If RankGo offers SMS communications, separate disclosures and consent terms will be presented before marketing or promotional SMS messages are sent.
5. License and Acceptable Use
5.1 Limited license
Subject to these Terms, RankGo grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your own lawful personal purposes or lawful internal business purposes. The Services are licensed, not sold. RankGo and its licensors reserve all rights not expressly granted.
5.2 Prohibited conduct
You may not, and may not help another person to:
-
reverse engineer, decompile, disassemble, discover source code, extract model logic or reconstruct non-public elements of the Services, except where applicable law expressly prohibits this restriction;
-
scrape, crawl, spider, harvest data in bulk, conduct large-scale benchmarking, or use automated means to access the Services without written authorization;
-
copy, sell, sublicense, lease, rent, distribute, commercialize, frame, replicate or create derivative services from RankGo content, standings, reports or software;
-
circumvent access controls, usage limits, subscription restrictions, security features, eligibility rules or data integrity controls;
-
introduce malware, overload systems, probe for vulnerabilities, interfere with another user, or attempt unauthorized access;
-
impersonate another person, connect an account you do not own or control, provide false information, share credentials, or manipulate Connected Account data;
-
use the Services while driving or operating a vehicle in a manner that violates the law or creates distraction or danger;
-
use RankGo Data to make unlawful discriminatory decisions, harass users, publicly shame workers, or infer sensitive characteristics;
-
use the Services for illegal gaming, betting, money laundering, fraud or any unlawful promotion;
-
violate the rights of RankGo, Data Providers, Gig Platforms, other users or any third party; or
-
use the Services in any manner not expressly permitted by these Terms or the Supplemental Rules.
RankGo may investigate suspected violations, preserve evidence, restrict features, reverse incorrect calculations, remove content, suspend Accounts, disqualify standings results, or refer unlawful activity to the appropriate authorities.
6. Connecting Third-Party Work Accounts
6.1 Your authorization
When you choose to connect a Connected Account, you expressly authorize and instruct RankGo and its Data Providers, acting on your behalf, to access the relevant third-party source, retrieve and refresh the information you make available, normalize and transmit that information to RankGo, and use it to provide the Services. This authorization includes taking the steps technically necessary to establish, maintain, troubleshoot, refresh or re-authenticate the connection, subject to your choices, the third party’s terms and applicable law.
6.2 Ownership and authority
You represent that you are the rightful owner or authorized user of each Connected Account and that you may provide the credentials, authentication codes or permissions needed for the connection. You must not connect another person’s account without documented authority. RankGo may request proof of ownership or control.
6.3 Data Provider terms
Your connection may be facilitated by Argyle or another Data Provider. The Data Provider may present its own privacy notice, terms, consent screen or end-user authorization. Those terms govern the provider’s independent processing. RankGo is not responsible for the acts of a Data Provider outside RankGo’s legal control, but RankGo will select providers and manage contracts consistently with its obligations.
6.4 Credentials and authentication
Depending on the platform and connection method, credentials or authentication codes may be entered directly into a Data Provider interface, and RankGo may not receive or store them. RankGo’s Privacy Policy describes the known data flows. You are responsible for reviewing the connection screen before authorizing access.
6.5 Revocation and reconnection
You may disconnect a Connected Account through the available settings or by contacting support. Disconnection stops future retrieval through that connection but does not automatically delete information previously received and lawfully retained. Some platforms require periodic reconnection, one-time passcodes or renewed consent. Failure to reconnect may cause incomplete metrics, suspension of standings eligibility, or loss of current features. Revoking or disconnecting a Connected Account does not restore a connection to your plan’s limit (see Section 6.7).
6.6 Third-party terms and availability
Your use of a Gig Platform is governed exclusively by your agreement with that platform. RankGo cannot guarantee that a Gig Platform or Data Provider will permit access, provide every field, maintain historical information or support continuous refresh. A platform may change authentication, block access, delay data or terminate an integration at any time.
6.7 Connection limits
Each Membership includes a set number of Connected Accounts: one on RankGo Pro and two on RankGo Elite. A connection counts toward that limit once it is successfully established, and it remains assigned for the duration of the Membership, including if you later disconnect or revoke it. Reconnecting the same Connected Account after an authentication or credential error does not use an additional connection. When your Membership ends, RankGo removes its connections to your Connected Accounts through the Data Provider; if you subscribe again, you will need to reconnect them.
7. Data Accuracy, Synchronization and Third-Party Dependencies
RankGo depends on information provided by you and by third parties. Data may be delayed, incomplete, duplicated, categorized differently, retroactively corrected or unavailable. Earnings may include or exclude tips, bonuses, adjustments, expenses, reimbursements, taxes, tolls or fees depending on the source. “Active hours” may be defined differently by each platform. RankGo may standardize fields but cannot guarantee perfect comparability.
Displayed “last updated” timestamps indicate when RankGo or a Data Provider last processed available information; they do not guarantee that the underlying Gig Platform has finalized all transactions. Pending transactions, later adjustments, chargebacks, tips or platform corrections may change results.
RankGo may delay publication, mark data as provisional, exclude suspicious records, request reconnection, recalculate a metric, change a data source or suspend a feature where reasonably necessary to protect accuracy and fairness. RankGo does not warrant uninterrupted, real-time, daily or error-free synchronization.
8. RankGo Score, Analytics, Comparisons and Reports
8.1 Nature of the Score
The RankGo Score is RankGo’s proprietary analytical output intended to summarize verified performance data for the applicable measurement period, market and Score version. The current Score methodology, including its components and weightings, is described in Section 8.2 and may also be summarized on RankGo’s website or within the Services. RankGo may introduce future Score versions. Any material change to the Score methodology will apply prospectively and will be disclosed before the affected measurement period begins.
8.2 Methodology, version 1.0
RankGo Score v1.0 employs three normalized components: total monthly earnings for the measurement period (40%), total active hours worked for the period (30%), and hourly efficiency, meaning gross earnings per active hour (30%). Component values are normalized within the applicable eligible comparison population and then converted into a score from 0 to 1,000.
Because relative normalization can be affected by the comparison population, a user’s Score may change even when that user’s raw data does not change. RankGo may use minimum activity thresholds, outlier treatment, data quality filters, platform-specific mapping or market segmentation to reduce distortions. Any material rule must be disclosed in the applicable methodology or in the Supplemental Rules.
8.3 No guarantee and no vested right
A Score, standing, badge, percentile, comparison or report is not a vested right, an accrued entitlement, a certification, a guaranteed payment, or a representation that any other person should hire, contract with, insure, lend to or transact with you. RankGo may correct errors and may remove or flag results that are unreliable, fraudulent, stale or generated under superseded rules.
8.4 Historical comparisons
Historical comparisons may reflect changes in platforms, data availability, methodology versions, market composition or user activity. RankGo will attempt to label versions and material limitations but does not guarantee that all historical periods are directly comparable.
8.5 Exports
Exported reports are provided for your personal records. You are responsible for determining whether an export is appropriate for tax, accounting, legal, employment, credit or other purposes. RankGo does not guarantee acceptance by any third party. Exports may contain sensitive personal information; protect them accordingly.
9. Memberships, Fees, Automatic Renewal and Cancellation
9.1 Plans
The plans are: (a) RankGo Pro, which includes one Connected Account; and (b) RankGo Elite, which includes two Connected Accounts. Each plan is offered with monthly, six-month or annual billing: RankGo Pro at $15.99 per month, $76.75 every six months or $134.31 per year; RankGo Elite at $25.99 per month, $124.75 every six months or $218.31 per year. Final features, prices, taxes and billing channels will be stated at checkout.
9.2 Clear disclosure at checkout
Before obtaining payment information, RankGo will present the material Subscription terms clearly and conspicuously, including price, billing interval, automatic renewal status, trial terms, cancellation method and any material limitations. By affirmatively accepting and submitting payment, you authorize recurring charges to your selected payment method until cancellation.
9.3 Automatic renewal
YOUR MEMBERSHIP RENEWS AUTOMATICALLY FOR SUCCESSIVE PERIODS OF THE SAME LENGTH AT THE THEN-CURRENT PRICE, PLUS APPLICABLE TAXES, UNLESS YOU CANCEL BEFORE THE NEXT RENEWAL CHARGE. RANKGO OR THE APPLICABLE MERCHANT MAY CHARGE YOUR PAYMENT METHOD WITHOUT FURTHER AUTHORIZATION FOR EACH RENEWAL, SUBJECT TO REQUIRED NOTICES AND APPLICABLE LAW.
Monthly Memberships renew every month, six-month Memberships every six months and annual Memberships every year.
9.4 Stripe and other merchants
Web payments may be processed by Stripe or another payment processor. In-app purchases may be processed by Apple, Google or another app store merchant. The payment processor or merchant receives and stores payment card details under its own terms and privacy policy. RankGo generally receives transaction identifiers, status, plan, amount, billing contact information and limited payment metadata, not full card numbers.
9.5 Cancellation
You may cancel your Membership at any time.
RankGo will provide cancellation methods consistent with applicable law. When you enroll directly through RankGo online, an online method of cancellation will be available through your Account or another clearly disclosed online method.
Cancellation stops future renewal charges but normally does not terminate access before the end of the Membership period already paid for.
If you purchased your Membership through Apple, Google or another third-party merchant, cancellation may need to be completed through that merchant. Deleting your RankGo Account does not necessarily cancel a Subscription purchased through a third-party merchant.
When a Membership ends, your Connected Account connections are removed as described in Section 6.7. Unless you separately request Account deletion, your RankGo Account may remain available so that you can subscribe again, subject to the inactive-account retention period described in the Privacy Policy.
9.6 Refunds
Except where required by law, stated in a specific promotion, or approved by RankGo at its discretion, fees already charged are non-refundable and no prorated refund or credit is provided for a partially used period. This rule does not limit non-waivable consumer rights or remedies for unauthorized charges, billing errors or RankGo’s material breach.
9.7 Price changes
RankGo may change Subscription prices prospectively. For an existing auto-renewing Membership, RankGo will provide any notice required by applicable law before a new price becomes effective. The notice will identify the new price, when it becomes effective and how to cancel. Where applicable law requires additional consent before a price change takes effect, RankGo will obtain that consent. If you do not wish to renew at the new price, you may cancel before the applicable renewal date.
9.8 Failed payments and taxes
If a charge fails, RankGo or the merchant may retry it, request updated payment information, limit paid features or cancel the Subscription. You are responsible for applicable taxes unless the law requires RankGo to collect them. RankGo may use billing information to determine tax treatment.
9.9 Plan changes
Changing plans or billing periods during an active Membership is not currently available. To move to a different plan or billing period, cancel your current Membership and subscribe to the new one after the current period ends. RankGo will update these Terms before offering plan changes.
9.10 Renewal notices and reminders
RankGo will provide renewal notices and reminders as required by applicable law. For a California Membership with an initial term of one year or longer that automatically renews, RankGo will provide a renewal notice at least 15 days and no more than 45 days before renewal. The notice will identify the renewal period, applicable price or charge, billing frequency and cancellation method, and will include RankGo’s contact information and an accessible way to reach the cancellation process.
For six-month Memberships, RankGo will send an email reminder before each renewal stating the renewal date, amount and how to cancel. RankGo will also provide annual reminders and notices relating to trials, promotional pricing or other billing changes where required by applicable law.
10. Recognition Programs, Standings and Supplemental Rules
RankGo may offer leaderboards, recognitions, badges, non-monetary benefits or monetary recognition programs. Each program that involves an award, cash payment, limited benefit, contest, promotion or competition must be governed by Supplemental Rules that identify the sponsor, eligibility, geographic limits, entry method, measurement period, Score version, data requirements, tie-breaking criteria, audit period, the value and source of any award, tax responsibility, claim procedure, grounds for disqualification and legally required disclosures.
Except as Supplemental Rules expressly and lawfully provide otherwise: (a) purchasing a Membership does not guarantee eligibility, does not change the Score methodology, does not buy a chance to win and does not guarantee an award. Your plan determines how many Connected Accounts you may link, and your Score reflects the verified activity from the Connected Accounts you link, measured under the same published methodology for every participant; (b) results are based on disclosed verified performance criteria, not chance; (c) no wager is accepted; (d) users may not stake money on an outcome; and (e) RankGo may withhold or recover an award affected by fraud, error, ineligibility or chargeback.
If there is a conflict between these Terms and valid Supplemental Rules, the Supplemental Rules control for that particular program only. RankGo may cancel, pause, prospectively modify or delay a program where required by law, a data failure, a security event, force majeure, insufficient eligible participation or a material threat to fairness.
11. Audits, Review Requests and Corrections
RankGo may use automated and manual checks to identify duplicates, impossible values, platform corrections, shared accounts, suspicious patterns or inconsistent data. A user may request a review within the deadline stated in the applicable methodology or Supplemental Rules. A request must identify the disputed period, platform, field and reason, and include the supporting records reasonably requested by RankGo.
RankGo may compare source records, Data Provider records, timestamps, transaction identifiers, connection history and user-supplied evidence. RankGo is not required to disclose confidential security controls, source code, fraud detection thresholds, another user’s information or Data Provider trade secrets. RankGo’s final internal determination governs the Services, subject to applicable law and the dispute resolution process.
RankGo may correct raw data mappings, recalculations, display errors, duplicate records or material methodology errors. Closed standings will not normally be changed simply because of a later methodology version, but RankGo may issue a corrected result where a material error affected fairness or legal compliance. RankGo will reasonably document the reason and version of a material correction.
12. User Content and Feedback
You retain ownership of User Content that lawfully belongs to you. You grant RankGo a worldwide, non-exclusive, royalty-free license to host, copy, process, display, transmit, modify for formatting, and otherwise use User Content as reasonably necessary to provide, protect, improve and support the Services, enforce these Terms and comply with law. This license ends when the content is removed from active systems, subject to backups, legal holds, de-identification and prior lawful uses.
You represent that you hold the necessary rights and that User Content is accurate, lawful, and does not infringe privacy, intellectual property, confidentiality or other rights. RankGo may remove content that violates these Terms or creates legal or safety risk.
If you provide suggestions or feedback, you grant RankGo a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation, provided that RankGo does not publicly identify you as the source without your permission.
13. Intellectual Property
The Services, the RankGo name and logos, the RankGo Score, the methodologies, software, interfaces, visual designs, reports, taxonomies, data mappings, standings formats, documentation and RankGo Data are owned by RankGo or its licensors and are protected by intellectual property and unfair competition laws. No rights are granted other than the limited license contained in these Terms.
You may accurately state that you use RankGo and may share an authorized personal Score card or report using the built-in sharing tools, subject to the display rules. You may not remove notices, falsely imply endorsement, register confusingly similar marks or domains, reproduce leaderboards for commercial purposes, or use RankGo intellectual property to train or build a competing product without written permission.
Third-party trademarks remain the property of their owners. Compatibility references do not imply endorsement.
14. Copyright Complaints
If RankGo hosts user-submitted material and receives a valid copyright complaint, it may remove or disable access in accordance with the Digital Millennium Copyright Act (“DMCA”). A notice must identify the copyrighted work, the allegedly infringing material and its location, contact information, a good faith statement, a statement of accuracy and authority under penalty of perjury, and a physical or electronic signature. Notices should be sent to RankGo’s designated agent at info@rankgo.tech.
15. Third-Party Services and Links
The Services may integrate with or link to Data Providers, Gig Platforms, Stripe, app stores, hosting providers, analytics services, customer support tools or websites not controlled by RankGo. Links and integrations are provided for convenience and functionality, not as an endorsement. Third parties may change, suspend or discontinue their services. Your use is governed by those third parties’ terms and privacy policies.
To the extent permitted by law, RankGo is not responsible for the content, policies, outages, security practices, data inaccuracies or conduct of third parties outside RankGo’s control. This disclaimer does not relieve RankGo of duties that cannot lawfully be delegated.
16. Driving and Safety
Do not interact with the Services while driving or operating a vehicle, except through a lawful hands-free method and when it is safe to do so. Analytics, standings, notifications or recognition do not justify speeding, distracted driving, unsafe parking, violating Gig Platform rules, skipping rest, or violating traffic and labor laws. RankGo does not encourage unlawful or unsafe conduct, and may exclude data or suspend users where credible evidence indicates manipulation through unsafe or unlawful activity.
17. Privacy
RankGo’s Privacy Policy explains how RankGo collects, uses, discloses, retains and protects personal information, and describes user choices. It is incorporated by reference. If a feature has a just-in-time notice or a Supplemental Privacy Notice, that notice also applies. In the event of a conflict regarding personal information practices, the more specific privacy notice controls for that processing activity.
18. Suspension, Disqualification and Termination
18.1 By you
You may stop using the Services, disconnect accounts, cancel a Subscription or request Account deletion. Cancellation and deletion are distinct actions. Certain records may be retained as described in the Privacy Policy.
18.2 By RankGo
RankGo may restrict, suspend, disqualify or terminate access if RankGo reasonably believes that you violated these Terms or Supplemental Rules; connected an unauthorized account; manipulated data; threatened the security or integrity of the Services; failed to pay required fees; engaged in fraud or abusive conduct; or if continued access would violate applicable law or make the Services technically infeasible.
Where reasonable and where doing so would not compromise security, fraud prevention or an investigation, RankGo may provide notice and an opportunity to respond or correct the issue.
18.3 Effect
On termination, your license ends. RankGo may delete or de-identify data subject to legal holds, backups, disputes, fraud prevention and privacy commitments. Provisions that by their nature should survive, including ownership, disclaimers, limitations, indemnification, dispute resolution and accrued payment obligations, survive.
19. Changes to the Services and the Terms
RankGo may add, modify, suspend or discontinue features. RankGo may revise these Terms prospectively. For material changes, RankGo will provide notice by email, in-product notice or prominent posting, and will request renewed acceptance where required. Changes apply on the stated effective date. Continued use after effective notice constitutes acceptance, except where the law requires affirmative consent.
A new Score methodology applies prospectively from its disclosed effective period and must not retroactively alter a finished period, except to correct a material error, address fraud or comply with law. RankGo will maintain reasonable version records.
20. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS. RANKGO AND ITS LICENSORS, DATA PROVIDERS AND SERVICE PROVIDERS DISCLAIM ALL EXPRESS, IMPLIED AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, NON-INFRINGEMENT AND WARRANTIES ARISING FROM COURSE OF DEALING OR TRADE USAGE.
RANKGO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, COMPLETE, CURRENT OR COMPATIBLE WITH ALL PLATFORMS; THAT DATA WILL REFRESH ON ANY PARTICULAR SCHEDULE; THAT SCORES OR STANDINGS WILL BE ACCURATE FOR ALL PURPOSES; THAT A CONNECTED ACCOUNT WILL REMAIN AVAILABLE; OR THAT USE WILL INCREASE EARNINGS, REDUCE HOURS, GENERATE WORK OR RESULT IN AN AWARD.
Some jurisdictions do not allow certain disclaimers, so the disclaimers apply only to the extent permitted. Nothing excludes warranties or rights that cannot lawfully be excluded.
21. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RANKGO AND ITS AFFILIATES, OFFICERS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, LICENSORS, DATA PROVIDERS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, OPPORTUNITIES, DATA, GOODWILL OR BUSINESS INTERRUPTION; COSTS OF SUBSTITUTE SERVICES; OR DAMAGES ARISING FROM THIRD-PARTY PLATFORMS, DATA ERRORS, CONNECTION FAILURES, USER DECISIONS, ACCOUNT SUSPENSIONS OR UNAUTHORIZED ACCESS, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RANKGO’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID RANKGO FOR THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).
These limitations do not apply to liability that cannot be limited, including, where applicable, RankGo’s fraud or willful misconduct, certain privacy or security violations, or personal injury caused by negligence. They are an essential allocation of risk reflected in the Subscription price.
22. Indemnification
To the extent permitted by law, you agree to defend, indemnify and hold harmless RankGo and its affiliates, officers, members, managers, employees, agents and service providers from third-party claims, damages, judgments, losses, liabilities, costs and reasonable attorneys’ fees arising from: (a) your unlawful or unauthorized use; (b) your breach of these Terms or the Supplemental Rules; (c) User Content; (d) a Connected Account you were not authorized to connect; (e) your violation of another person’s rights; or (f) your fraud, willful misconduct or unlawful conduct. RankGo may control the defense of a covered claim, and you will cooperate. You may not settle in a way that imposes liability or admissions on RankGo without its written consent.
This indemnity does not require a consumer to indemnify RankGo for RankGo’s own fraud, legal violations, or conduct for which indemnification is prohibited.
23. Informal Dispute Resolution
Before filing arbitration or a lawsuit, you and RankGo agree to attempt in good faith to resolve the dispute. The claiming party must send a written Notice of Dispute to info@rankgo.tech containing the claimant’s name, Account email, contact information, a detailed description of the facts and claims, the relief sought, and a good faith calculation of any monetary demand. RankGo will send notices to the Account contact information.
The parties will have 45 days after receipt to investigate and attempt resolution. Either party may request an individualized telephone or video conference. Limitations periods will be tolled during the 45-day process to the extent enforceable. This process is a precondition, except where urgent injunctive relief or a legally non-waivable claim is involved.
24. Arbitration Agreement, Jury Waiver and Class Action Waiver
24.1 Arbitration agreement
Except for the matters excluded below, and unless you timely opt out, you and RankGo agree that any dispute, claim or controversy arising out of or relating to these Terms, the Services, communications, subscriptions, Connected Accounts, Scores, standings, privacy, prior versions or the relationship between you and RankGo will be resolved by final and binding individual arbitration administered by the American Arbitration Association (“AAA”) under its applicable consumer rules and governed by the Federal Arbitration Act.
24.2 Exclusions
Either party may bring an individual action in small claims court if it qualifies and remains there. Either party may seek temporary or equitable relief in court for actual or threatened infringement, misappropriation, unauthorized access or misuse of intellectual property or confidential systems. Claims that applicable law requires to remain in court are excluded to that extent.
24.3 Jury trial waiver
YOU AND RANKGO WAIVE THE RIGHT TO A TRIAL BEFORE A JUDGE OR JURY FOR DISPUTES SUBJECT TO ARBITRATION. ARBITRATION IS LESS FORMAL, DISCOVERY MAY BE LIMITED AND JUDICIAL REVIEW IS LIMITED.
24.4 Class and representative action waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY MAY BRING CLAIMS ONLY ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR MEMBER IN A CLASS, CONSOLIDATED, PRIVATE ATTORNEY GENERAL OR REPRESENTATIVE PROCEEDING. The arbitrator may award relief only to the individual party and only to the extent necessary to resolve that party’s claim. Non-waivable claims for public injunctive relief will be handled as applicable law requires.
24.5 Procedure, location and fees
Arbitration may be conducted on documents, by telephone, by video, or in the county where you reside, unless the parties agree otherwise. Fees will be allocated under the administrator’s consumer rules and applicable law. RankGo will not seek attorneys’ fees from a consumer unless the arbitrator finds the claim frivolous or brought for an improper purpose, or applicable law otherwise permits it.
24.6 Opt out
You may opt out of this Arbitration Agreement by sending unambiguous written notice within 30 days of your first acceptance to info@rankgo.tech. The notice must include your full name, Account email and a statement that you are opting out. Opting out does not affect the other Terms or any separately accepted prior arbitration agreement.
24.7 Severability
If a court finds that a particular claim cannot be arbitrated or that a waiver is unenforceable, that claim or the relief sought will be severed and heard in court after the remaining arbitrable matters are completed, unless applicable law requires a different result. If the class action waiver is invalid in a way that would permit class arbitration, then the entire arbitration requirement will be void.
25. Governing Law and Courts
These Terms are governed by California law, without regard to its conflict of laws principles, except that the Federal Arbitration Act governs the arbitration provision. For disputes not subject to arbitration or small claims, the parties consent to exclusive jurisdiction and venue in the state and federal courts located in San Francisco County, California, unless consumer protection law gives you the right to bring a claim elsewhere.
26. California Consumer Notice
California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.
27. General Provisions
These Terms, the Privacy Policy and the applicable Supplemental Rules constitute the entire agreement regarding the Services and supersede prior or contemporaneous understandings on that subject. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will stay in effect. RankGo’s failure to enforce is not a waiver. You may not assign these Terms without consent; RankGo may assign them in connection with a merger, financing, reorganization, asset sale or operation of law, subject to privacy commitments and applicable notice. Headings are for convenience only. “Including” means “including without limitation”. Electronic records and signatures satisfy any writing requirement. Neither party is liable for delays caused by events beyond its reasonable control, other than payment obligations and duties that cannot lawfully be excused.
